How we read it
Officers, directors and 10% shareholders report each trade on a Form 4 within two business days. This report counts the purchases and sales (codes P and S: in the market or privately) of people filing on their own behalf, at the price they report, including shares held through their trusts and family vehicles. Grants, option exercises, shares withheld for taxes and gifts are not trades. Funds that report through a director they appoint, such as Silver Lake at Dell or LS Power at NRG, are left out: those shares are the fund's ($693.1M sold in Q3 2024). So are shares that change hands between insiders or their own accounts at the same price on the same day, and shares a spouse also reports are counted once. Amendments replace the lines they correct. Many large sales follow pre-arranged trading plans (Rule 10b5-1); each filing says so. Not investment advice.
